NAVIEN SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR DATA, ARISING FROM YOUR USE OF THE PORTAL OR ANY CUSTOMER DATA, EVEN IF NAVIEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify and hold harmless Navien, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Portal, your breach of these Terms, or your violation of any law or the rights of a third party.

Navien may, at its sole discretion, suspend or terminate your access to the Portal at any time and for any reason, with or without notice.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Orange County, California.

10. Changes to the Terms

Navien reserves the right to modify these Terms at any time. We will notify you of any changes by updating the "Last Updated" date at the top of this document. Your continued use of the Portal after any such changes constitutes your acceptance of the new Terms.

11. Severability

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

These Terms, along with the Navien Partners Portal Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and Navien regarding your use of the Portal and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Navien with respect to the Portal.

Navien will not be liable to you or any third party for any modification, suspension, or discontinuation of the Portal or any part thereof.

Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Navien. You do not have authority to bind Navien in any way.

15. Force Majeure

Navien shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, war, epidemics, cyber-attacks, or failures of suppliers or service providers.

16. Feedback and Suggestions

Any feedback, suggestions, or ideas submitted by you regarding the Portal shall be deemed non-confidential and the sole property of Navien. Navien may use such feedback for any purpose without attribution or compensation to you.
